www.Tea-Guy.com Tea Moment Contest Official Rules and Regulations

ELIGIBILITY: Contest is open only to individuals, 18 years or older at time of entry, who are legal residents of the United States.  The following individuals are not eligible:

• employees, contractors, directors and officers of Tea-Guy.com LLC (“Sponsor”)
• employees, contractors, directors and officers of Libre Tea, Adiago Teas, Harney & Sons Inc., Infusions of Tea, Kokomo Tea, Tavalon LLC, and YouTube, and each of their respective parent, subsidiary and affiliated companies and distributors
• individuals who, within the last twelve (12) months, have received free products and/or items for review from tea companies for potential coverage in a tea-related blog or other media
• those who reside with or are immediately related to (spouse, parent, sibling, child, siblings’ spouses) an ineligible individual are themselves ineligible

All federal, state, and local laws and regulations apply; void where prohibited. NO PURCHASE NECESSARY: A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. Odds of winning depend on number of eligible entries received.

TO ENTER: There are two categories in the www.Tea-Guy.com Tea Moments contest. Entrants may choose to enter in either or both categories, and may enter more than once.  However, a winner in either category becomes ineligible to win in the other category.  To enter:

• YouTube Video Entry: Create a YouTube video response to the contest announcement video describing your tea moment.  Log in to the YouTube Web site and complete the following process between 12:01 a.m. on 11/26/2009 and 11:59:59 p.m. Eastern Standard Time on 12/11/2009.

• If you are not an existing user of YouTube, create a free user account. Registration on YouTube must be completed before you can submit a video.
• After you’ve successfully logged in, watch the www.Tea-Guy.com Tea Moments video registered to YouTube user “teaguyllc” at www.youtube.com/user/teaguyllc. Upload your video response describing your tea moment.  This is your submission.  Submissions must be linked as a response to the www.Tea-Guy.com video.  Submissions must also include the Web address “www.Tea-Guy.com” in their YouTube video description.
• YouTube entries must meet any and all YouTube parameters for uploading, including, but not limited to, requirements for maximum file size, file format, and YouTube Terms of Use.
• After uploading your video, e-mail Sponsor at contest@tea-guy.com with your name, YouTube user name and e-mail address by 11:59:59 Eastern Standard Time on 12/11/2009.

• www.Tea-Guy.com Essay Entry: Describe your tea moment(s) in an essay.  There is no minimum or maximum length, but responses must be submitted in English.  Submit your response in the body of an e-mail, along with your name and e-mail address, to contest@tea-guy.com between 12:01 a.m. on 11/26/2009 and 11:59:59 p.m. Eastern Standard Time on 12/11/2009.

Submissions must be received by 11:59:59 p.m. EST on 12/11/2009 in order to be eligible. All submitted entries become the property of the Sponsor and may not be acknowledged or returned.  Sponsor and its affiliates are not responsible for lost, late, inaccurate, incomplete, damaged, illegible, or misdirected entries, nor for inaccurate, incomplete or incorrect entry of information. This includes, but is not limited to, human error, lost data transmission or any technical errors including line failures of telephone, computer or networking equipment or software.  Online entries will be deemed submitted by the authorized account holder of the e-mail address and/or YouTube account submitted at the time of entry.

By entering, you agree to be bound by these Official Rules and Regulations. Sponsor reserves the right to cancel and re-schedule the contest at any time.

WINNER SELECTION: A representative of www.Tea-Guy.com will select one (1) winner from the video category and one (1) winner from the essay category, resulting in two (2) prize winners. Online entries will be deemed submitted by the authorized account holder of the e-mail address and/or YouTube account submitted at the time of entry.  Each entrant is only eligible to win one (1) prize, regardless of whether he or she entered in both categories.

PRIZE AWARDS: Each prize winner will receive one (1) LibreTea glass and an assortment of tea from contest affiliates Adiago Teas, Harney & Sons, Infusions of Tea, Kokomo Tea, and Tavalon Tea. The prize value is estimated at $100 but final value will vary based on the types of tea each participating company includes in the prize pack.  No prize substitution is permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value for any reason. All taxes and any other incidental expenses on prizes are the sole responsibility of each winner.

GENERAL RULES & LIMITATIONS:

Except where prohibited by law, by uploading a submission or e-mailing an essay, entrant grants Sponsor and its affiliates the unconditional and perpetual right and permission to reproduce, store, copy, transmit, publish, display, broadcast, exhibit and/or otherwise use or reuse the submission (as submitted or as edited/modified by the Sponsor in its sole discretion), as well as to use entrant’s name, likeness, photograph, and/or statements regarding his or her participation in the contest with or without using the entrant’s name in any and all media without limitation as to time or territory, and without compensation or approval from the Entrant or any other party.

By participating in the contest, you agree to release Sponsor and its employees, directors, officers and agents, as well as the contest affiliates and their employees, directors, officers and agents, from any and all liability, claims or actions of any kind for injuries, damages or losses which may be sustained in connection with the receipt, possession, use, or misuse of any prize.  Sponsor is not responsible for technical, hardware or software failures, or other errors or problems which may occur in connection with contest, processing of entries, announcement of prizes, in contest-related materials or that may limit a participant’s ability to enter the contest.  Sponsor reserves the right to cancel the contest at any time in its sole discretion.  As permitted by law and in accordance with the Sponsor’s privacy policy, the Sponsor may use information provided by entrants to send announcements about the Sponsor’s products and programs.  You may opt out of this notification by including a request in your e-mailed essay entry or in the e-mail notification of your video category entry.

By uploading a video entry to YouTube or e-mailing an essay entry, entrant warrants that the submission is original and has been legally created.  Entrant also warrants the submission does not infringe the intellectual property, privacy, or publicity rights or any other legal rights of any third party.  Entrant warrants that he or she owns all rights to his or her submission, including but not limited to the copyrights in the recording.  Entrant warrants that he or she has obtained permission of each person whose name, image, likeness or voice is included in the submission and that any such persons have granted all necessary rights to use that likeness as described in these rules (and in the case of a minor, written permission from a parent or legal guardian).

Entrant agrees to indemnify and hold harmless the Sponsor and its employees and agents, in addition to the other participating organizations and their employees and agents, from any and all claims, damages, costs (including reasonable attorneys’ fees) and liabilities (including settlements) brought or asserted by any third party due to or arising out of the entrant’s submission or the entrant’s conduct in creating a submission or otherwise in connection with this contest.  These claims include but are not limited to trademark infringement, copyright infringement, violation of an individual’s right of publicity, or defamation.

DISPUTE RESOLUTION: Except where prohibited by law, by entering you agree that all issues and questions concerning the interpretation, validity and enforceability of these Official Rules, or the rights and obligations of the participants and Sponsor and its agents shall be governed by and construed exclusively in accordance with the laws of the State of Ohio, without regard to its rules on conflicts of law; that any action at law or in equity arising out of or relating to this contest, or awarding of prizes, shall be filed only in the state or federal courts located in the State of Ohio, and entrant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such action; and that any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this contest but in no event attorneys’ fees, and you hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and waive any and all rights to have damages multiplied or otherwise increased.
